Terms and Conditions

1. The Service

TorqYard is a multi-tenant platform for managing plant/equipment assets, maintenance job cards, and rental billing. Each organisation that signs up ("tenant") gets its own logically separated workspace, with staff accounts and access levels controlled by that tenant's own administrators.

2. Accounts & Responsibilities

• You are responsible for the accuracy of the information you provide when signing up, and for keeping your account credentials confidential.
• You are responsible for the actions of staff accounts your tenant administrators create, and for managing who within your organisation has access to the Service.
• You must notify us promptly of any unauthorised use of your account or a suspected security breach.

3. Subscriptions & Billing

Access to the Service is billed on a subscription basis according to the package you select at signup. Subscriptions are billed via PayFast (ZAR) or Stripe (other currencies), and renew automatically each billing period unless cancelled. If a payment fails or is not received, we may suspend access to your tenant until the account is brought current. You can change or cancel your subscription at any time through your account settings or by contacting us.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose, or in a way that infringes the rights of others
• Attempt to access another tenant's data, or circumvent the Service's access controls
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, resell, or sublicense the Service except as expressly agreed with us in writing

5. Your Data

You retain ownership of the operational data you and your staff enter into the Service (assets, job cards, maintenance records, rental contracts, and similar records). We process this data to provide the Service to you, as described in our Privacy Policy. You are responsible for the accuracy and legality of the data you submit, and for obtaining any consents needed from your own clients, employees, or contractors whose information you record in the Service.

6. Third-Party Integrations

The Service allows you to optionally connect third-party integrations, including Xero (accounting sync) and telematics/GPS hardware vendors (automatic asset reading updates). These integrations are provided for your convenience; we are not responsible for the availability, accuracy, or actions of third-party services you choose to connect. You are responsible for your own account and configuration with those third parties.

7. Service Availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available", without warranties of any kind, express or implied, to the maximum extent permitted by law.

8. Limitation of Liability

To the maximum extent permitted by law, TorqYard shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunity. Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.

9. Termination

You may cancel your subscription at any time. We may suspend or terminate your access to the Service if you breach these Terms, fail to pay outstanding fees, or use the Service in a way that we reasonably believe poses a risk to us, other tenants, or the Service itself. On termination, we will retain your data for a reasonable period as described in our Privacy Policy to allow for reactivation or export, after which it may be deleted.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Republic of South Africa, without regard to its conflict of law principles.
